ORC Moves to Strike Off 453 Companies, Dissolves 323 Others

The Office of the Registrar of Companies (ORC) has announced plans to strike off 453 companies from the Register of Companies while confirming the dissolution of 323 companies that failed to comply with statutory requirements under the Companies Act, 2019 (Act 992).

In a press release dated November 4, 2026, the ORC said the action forms part of its ongoing regulatory and compliance enforcement measures aimed at maintaining the accuracy, integrity and reliability of the Register of Companies.

According to the Registrar, the 453 companies are currently subject to strike-off proceedings under Section 289(3) of the Companies Act, 2019 (Act 992).

The affected companies were listed in Volume 48 of the ORC Companies Bulletin, published on October 15, 2026, and have been given three months from the date of the notice to show cause why their names should not be removed from the register.

The ORC explained that any company that fails to respond satisfactorily within the stipulated period will be struck off and dissolved in accordance with the law.

The statement also confirmed the dissolution of 323 companies under Section 289(5) of Act 992.

According to the Registrar, these companies had previously been notified of intended strike-off proceedings through Volume 40 of the ORC Companies Bulletin but failed to regularise their status or provide reasons why they should remain on the register after the expiration of the statutory period.

As a result, their names have now been removed from the Register of Companies and the companies stand officially dissolved.

The ORC urged affected companies, creditors, shareholders and other interested parties to take the necessary steps to regularise their status where applicable or contact the Registrar’s office for further information and guidance.

The Office reiterated its commitment to ensuring compliance with Ghana’s corporate regulatory framework and promoting high standards of corporate governance, transparency and accountability in the country’s business environment.

The Registrar further advised businesses to remain compliant with their statutory obligations to avoid sanctions, including strike-off and dissolution proceedings.
